Section 1 - Eligibility. There is one type of membership open to all persons eighteen (18) years of age and older who are in good standing with the American Kennel Club and who subscribe to the purposes of this club. While membership is to be unrestricted as to residence, the Club's primary purpose is to be representative of the breeders and exhibitors in its immediate area.

Section 2 - Dues. Yearly membership dues shall be a maximum of $30 per person, $45 per couple, payable on or before the end of January. No member may vote whose dues are not paid for the current year. During the month of November the treasurer shall send to each member a statement of his dues for the ensuing year.

Application fees shall be no more than one-half of the year dues. Dues will be recommended by the Board of Directors and approved by the majority vote of members at a regular club meeting.

Section 3 - Election of Membership. Each applicant for membership shall apply on a form as approved by the Board of Directors and which shall provide that the applicant agrees to abide by these constitution and by-laws and the rules of the American Kennel Club. The application shall state the name, address, and occupation of the applicant and it shall carry the endorsement of two members in good standing. Accompanying the application, the prospective member shall submit application fees and dues payment for the current year.

All applications are to be filed with the Secretary and each application is to be read at the first meeting of the club following its receipt. Each applicant shall attend this meeting and one subsequent meeting prior to a vote on the application by the Club Members. At the next club meeting the application will be voted upon and affirmative votes of three quarters of the members present and voting by secret ballot at that meeting shall be required to elect the applicant.

Applicants for membership who have been rejected by the Club may not re-apply within six months after such rejection.



CONSTITUTION OF THE EASTERN BOXER CLUB

ARTICLE 1 - NAME AND OBJECTIVES

SECTION 1 - The name of the Club shall be the Eastern Boxer Club.

Section 2 - The objectives of the Club shall be:

a. to encourage and promote quality in the breeding of purebred Boxers and to do all possible to bring their natural qualities to perfection;

b. to urge members and breeders to accept th estandard of the breed as approved by the American Kennel Club and the parent breed club as the only standard of excellence by which the Boxer shall be judged;

c. To support shows and obedience trials and to maintain a program of awards which will encourage sportsmanlike competition, protect and advance the interest of the breed;

d. to conduct sanctioned and licensed specialty shows and obedience trials under the rules of the American Kennel Club;

e. to initiate educational programs and promotional activities, which will stimulate and extend public interest in the Boxer.

f. for members of the Eastern Boxer Club to abide by those portions of the American Boxer Club By-Laws and Code of Ethics which are applicable to members of member clubs.

SECTION 3 - The club shall not be conducted or operated for profit and no part of any profits or remainder or residue from dues of donations to the Club shallinure to the benefit of any member of individual.

SECTION 4 - The members of the Club shall adopt and may from time to time revise such By-Laws as may be required to carry out these objectives.

BY-LAWS OF THE EASTERN BOXER CLUB

SECTION 4. Termination of Membership. Memberships may be terminated:

a. by resignation. Any member in good standing may resign from the club upon written notice to the Secretary; but no member may resign when in debt to the Club. Dues obligations are considered a debt to the Club and they become incurred on the first day of the fiscal year.

b. by lapsing. A membership will be considered as lapsed and automatically terminated if such member's dues remain unpaid 90 days after the first day of January of each year; however, the Board may grant an additional 90 days of grace to such delinquent members in meritorious cases. In no case may a person be entitled to vote at any club meeting whose dues are unpaid as of the date of that meeting.

c. by explusion. A membership may be terminated by expulsion as provided in Article VI of these by-laws.

ARTICLE II - MEETINGS AND VOTING

SECTION I - Club Meetings. Meetings of the Club shall be held in the greater Philadelphia area six times a year, at such an hour and place as may be designated by the Board of Directors. Written notice of each such meeting shall be mailed by the Secretary at least ten (10) days prior to the date of the meeting. The quorum for such a meeting shall be 20% of the members in good standing.

SECTION 2 - Special Club Meetings. Special Club meetings may be called by the President, or by a majority vote of the members of the Board who are present and voting at any regular or special meeting of the Board; and shall be called by the Secretary upon receipt of a petition signed by five (5) members of the club who are in good standing. Such special meetings shall be held in the greater Philadelphia area at such a date, place, and hour as may be designated by the person or persons authorized herein to call such meetings. Written notice of such meetings shall be mailed by the Secretary at least five (5) days and not more than fifteen (15) days prior to the date of the meeting and said notice shall state the purpose of the meeting, and no other Club business may be transacted thereat. The quorum for such meeting shall be 20% of the members in good standing.

SECTION 3 - Board Meetings. Meetings of the Board of Directors shall be held in the greater Philadelphia area at least six (6) times per year at such hour and place as may be designated by the Board. Written notice of such meetings shall be mailed by the Secretary at least five (5) days prior to the date of the meeting. The quorum for such meetings shall be a majority of the Board. If more frequent regular Board meetings are to be called, a majority vote of the Board members is required to call such meetings.
