PAUL E. COHEN

Paul Cohen is a corporate attorney focusing on contracts of all types, corporate governance, intellectual property, licensing, advertising, joint ventures, mergers and acquisitions, and corporate communications.   In addition to his role as part-time General Counsel to Novations Group, Inc and Counsel to Lionbridge Technologies, Inc., he also runs a private practice in which he represents his clients in their corporate legal matters.   

Mr. Cohen attended Clark University in Worcester, Massachusetts, where he completed a five year BA/MBA program.  He attended Suffolk University law school in Boston at night while working full-time. 

Mr. Cohen has over 20 years of experience as a practicing attorney handling a variety of issues such as the following: General - Providing legal guidance for clients including customer and vendor contracts, corporate compliance and governance, intellectual property protection, corporate policies and dispute management.

Corporate -  Managing corporate governance matters.  Negotiating agreements and managing due diligence for corporate acquisitions and divestures.  Setting up entities and subsidiaries and appropriate inter-company agreements.  Advising clients on joint ventures, strategic alliances, licensing, employment, regulatory, and anti-trust matters.  Implementing corporate compliance guidelines and programs. 

Employment - Developing templates, policies and training for employment issues.  Preparing employment agreements and offer letters. 

Customers and Vendors - Negotiating agreements involving the purchase, sale and license of computer hardware, software, and intellectual property rights for resale, internal use and electronic commerce.

Intellectual Property and Advertising - Providing legal review for advertising, promotional and public relations materials.  Protecting intellectual property by researching usage and policing misuse by others. - Preparing trademark and copyright applications. 

Mr. Cohen serves on the Board of Trustees of West End House Camp, Inc. and on the Board of Directors of Temple Beth Avodah. 

When not practicing law, Paul is an avid (if not highly skilled)basketball player, cook, beach bum and traveler.  Paul is married with two children.
