ARTICLES OF INCORPORATION of ALLIANCE FOR AC TRANSIT

I. The name of this corporation is ALLIANCE FOR AC TRANSIT.

II. This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public purposes.

III. The specific and primary purpose of this corporation is to advocate for adequate levels of funding for the Alameda-Contra Costa Transit District to maintain and improve its local and transbay transit service, both fixed route and paratransit, to educate the public and develop a supportive constituency for Alameda-Contra Costa Transit District, and to take such other action as may promote maintenance and improvement in the local and transbay transit service of Alameda-Contra Costa Transit District.

IV. The name and address in the State of California of the corporation's initial agent for service of process is Karen Ackerman, Four Embarcadero Center, Suite 760, San Francisco, CA 94111.

V. This corporation is organized and operated exclusively for social welfare purposes within the meaning of Internal Revenue Code Section 501(c)(4), and is not organized for the private gain of any person.

VI. The property of this corporation is irrevocably dedicated to social welfare purposes and no part of the net income or assets of this corporation shall ever inure to the benefit of any director, officer or member thereof or to the benefit of any private person.

VII. Upon the dissolution or winding up of the corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed to a non-profit fund, foundation or corporation which is organized and operated exclusively for social welfare purposes and which has established its tax exempt status under Internal Revenue Code Section 503(c)(4).
